1 · Who we are, and what this covers

Helmry is operated by an individual entrepreneur (фізична особа-підприємець) registered in Ukraine (“we”, “us”). These terms govern your installation and use of the Helmry desktop application, the command-line tool that ships with it, the account service, and this website. Your purchase itself is a contract with Creem as merchant of record (Section 6).

By installing, activating or using Helmry, or by paying for a subscription, you accept these terms. If you are accepting on behalf of a company, you confirm you may bind it. Contact: support@helmry.com.

2 · The licence we give you

We grant you a personal, non-exclusive, non-transferable licence to install and run Helmry on the devices you use. A subscription is one person on unlimited devices — not one device, and not a shared account. Sharing the account is not permitted, and a pattern of activations that cannot belong to one person may be treated as sharing.

You may not resell, sublicense or rent the software, remove its notices, or redistribute a modified build. Reverse engineering is permitted only where the law says it cannot be excluded.

Your entitlement is a signed statement verified on your machine and renewed automatically while you are online. We cannot reach into an installed copy; what we can do is stop renewing it (Section 5).

3 · What the agents do on your machine

Helmry starts agent processes that read your repositories, write files in git worktrees, and run commands you or your configuration allow. That is the product, not a side effect.

4 · Your Claude account is yours

Helmry drives the Claude Code CLI that you install and authenticate. Your subscription or API key stays with you; requests are made by your own process under your credentials, and Anthropic bills you directly for them.

We make no claim about Anthropic's pricing, quotas or availability, and we are not responsible for changes Anthropic makes to its service or terms. Your use of Claude remains subject to Anthropic's own agreement with you.

5 · Your account and your installations

The email address is the account. You create it with an address and a password and confirm it with a code sent to that address. If you lose access to the mailbox and forget the password, the account cannot be recovered and a new one is needed; a subscription attached to the lost account stays attached to it. Keep both safe.

• Signing in on a machine activates that installation; activated installations renew automatically while online. You can see and deactivate any of them from your account.
• A deactivated installation stops renewing. If it is offline at the time, it keeps its current entitlement until that expires — at most seven days — and then stops. We have no way to stop it sooner, by design.
• An installation that cannot reach us keeps working for up to seven days, then asks you to connect once. Setting up a new machine requires an internet connection.
• The local sign-in inside the app is a key to that whole installation, not a boundary between people: anyone who can sign in there can read every conversation on it and use the Claude login configured on that machine. Do not treat it as multi-user isolation.

6 · Trial, billing, VAT and refunds

Purchases are made through Creem (creem.io), which acts as merchant of record: Creem is the seller of record, issues your invoice, and collects and remits applicable VAT, GST or sales tax at your location's rate — the tax due, if any, is shown at checkout.

• New subscriptions begin with a one-month free trial; cancel during the trial and nothing is charged. After the trial, subscriptions are billed monthly or annually, as you chose at checkout, in advance, and renew automatically until cancelled.
• Cancel any time, effective at the end of the current period. Cancelling stops future charges; it does not refund the current period except where the law requires. Your installations keep working until the paid period ends.
• We may change prices with at least 30 days' notice before a renewal; you may cancel instead.
• If a renewal payment fails, your installations keep working for 72 hours after the paid-through date while the payment is retried. After that Helmry locks until the subscription is renewed: work already running is allowed to finish, and nothing on your machine is deleted — your conversations are in Claude Code's own files and your work is in your repositories. Renewing unlocks it at the next check.

Nothing here limits statutory rights that cannot be limited by contract — including, for EU consumers, the right of withdrawal, which you may exercise by writing to us or through Creem, and for US consumers, the additional rights of your state.

7 · Updates

Helmry updates through the Microsoft Store or checks our release host, depending on how you installed it. Updates may add, change or remove features. You can decline an update and keep running the version you have; we only support the current release. Where a change materially reduces what you subscribed to, we will give notice and you may cancel with a pro-rata refund for the unused part of the period.

8 · Acceptable use

Do not use Helmry to break the law, to attack systems you do not control, or to work around limits in another provider's service — including your agreement with Anthropic. Do not use it to process material you have no right to process. You must comply with applicable export-control and sanctions law.

9 · Warranty and liability

The software is provided “as is”. To the extent the law allows, we exclude implied warranties, and our total liability for any claim is limited to the amount you paid us for the software in the twelve months before the event giving rise to it.

Nothing here limits liability that cannot be limited by law, including for death, personal injury, or fraud. Consumer rights in your country are not affected.

10 · Ending the agreement

You may stop using Helmry at any time by uninstalling it and cancelling the subscription. We may end this licence if you materially breach these terms and do not cure the breach within 14 days of notice.

If we ever discontinue Helmry, we will give at least 60 days' notice, refund the unused part of any prepaid period, and your licence becomes perpetual: every active installation is issued an entitlement that never needs renewing, and we publish a final build that runs without any licence check for machines that were offline during the notice period. Discontinuation means the account service ends; it never means the software you installed stops.

11 · Changes, law and contact

We may update these terms on 30 days' notice for good reason; the version and effective date at the top always say which text applies. Material changes are announced in the app and by email to your account address before they take effect.

These terms are governed by the law of Ukraine. Disputes are brought before the courts of Ukraine having jurisdiction at our registered address — except where the mandatory law of your country of residence gives you the right to sue, or be sued, at home, in which case that right stands.
