Terms of Service

Helmry runs agents that edit files and run commands on your machine. It does not include a Claude subscription — you bring your own and Anthropic bills you separately. Helmry works with Claude Code and is not affiliated with, or endorsed by, Anthropic.

1 · Who we are, and what this covers

Helmry is desktop software published by [legal entity name, registration number, address] (“we”, “us”). These terms govern your installation and use of the Helmry desktop application, the command-line tool that ships with it, and this website.

By installing or using Helmry you accept these terms. If you are accepting on behalf of a company, you confirm you may bind it.

2 · The licence we give you

We grant you a personal, non-exclusive, non-transferable licence to install and run Helmry on the devices you use. A paid seat is one person on unlimited devices — not one device, and not a shared account.

You may not resell, sublicense or rent the software, remove its notices, or redistribute a modified build. Reverse engineering is permitted only where the law says it cannot be excluded.

The licence key is a signed statement verified on your machine. We do not run an activation server in the start-up path, and we cannot remotely disable a copy that is already installed.

3 · What the agents do on your machine

Helmry starts agent processes that read your repositories, write files in git worktrees, and run commands you or your configuration allow. That is the product, not a side effect.

You choose the autonomy level per agent — full auto, ask first, plan only, read-only.
You are responsible for the repositories you point it at and for reviewing changes before you commit them.
Keep backups or use version control you can revert. We cannot restore work an agent overwrote.

4 · Your Claude account is yours

Helmry drives the Claude Code CLI that you install and authenticate. Your subscription or API key stays with you; requests are made by your own process under your credentials, and Anthropic bills you directly for them.

We make no claim about Anthropic's pricing, quotas or availability, and we are not responsible for changes Anthropic makes to its service or terms. Your use of Claude remains subject to Anthropic's own agreement with you.

5 · Free tier and paid plans

During early access every feature is available at no charge. When paid tiers begin, we will publish the prices and what each tier includes before the first charge, and existing users will be told in advance.

Two commitments we intend to keep and are writing down here: a limit is refused when work is started, never applied to an agent already running; and a lapsed licence degrades to the free tier rather than disabling the application.

6 · Billing, VAT and refunds

Paid subscriptions are sold through a merchant of record, which becomes the seller for the transaction and handles tax in your country. Its name and details appear on your receipt.

  • Billing period: [monthly / annual], charged in advance.
  • Prices are stated as [VAT inclusive / exclusive].
  • Refund window: [N] days from the charge, no questions asked.
  • Cancel any time; the subscription runs to the end of the period you paid for.
  • A failed renewal does not cut you off immediately — the key carries a grace period of 14 days.

7 · Updates

Helmry updates itself from a public release feed. Updates may add, change or remove features. You can decline an update and keep running the version you have; we only support the current release.

8 · Acceptable use

Do not use Helmry to break the law, to attack systems you do not control, or to work around limits in another provider's service. Do not use it to process material you have no right to process.

9 · Warranty and liability

The software is provided “as is”. To the extent the law allows, we exclude implied warranties, and our total liability for any claim is limited to the amount you paid us in the twelve months before it arose — which, during free early access, is zero.

Nothing here limits liability that cannot be limited by law, including for death, personal injury, or fraud. Consumer rights in your country are not affected.

10 · Ending the agreement

You may stop using Helmry at any time by uninstalling it. We may end this licence if you materially breach these terms and do not fix it within 30 days of being told.

If we ever discontinue Helmry, we will publish a build with the licence check removed, so an installed copy keeps working.

11 · Changes, law and contact

We may update these terms; the version and effective date at the top always say which text applies. Material changes are announced in the app and by email to subscribers before they take effect.
